Max Friedman is a co-founder of Johnson Friedman Law Group and focuses his practice on commercial real estate transactions, representing investors, developers, landlords, tenants, and business owners across all phases of the transaction lifecycle—including the acquisition, disposition, leasing, and financing of commercial properties throughout Texas and nationally.

Max’s transactional experience encompasses drafting and negotiating purchase and sale agreements, structuring complex lease arrangements, resolving title and survey issues, and advising clients on entity formation and risk allocation strategies for real estate investments.

As an active commercial real estate investor and business owner himself, Max brings a distinctive, business-oriented perspective to every engagement. His hands-on experience underwriting deals, evaluating investment risk, and navigating the operational realities of running a business enables him to counsel clients not only on the legal dimensions of a transaction, but also on the strategic and financial considerations that drive sound investment decisions.

  • Represent national and regional asset managers in connection with their commercial real estate holdings, including the acquisition and disposition of assets, landlord/tenant counseling, lease enforcement, and day-to-day transactional advisory.
  • Represent buyers and sellers of commercial real estate in the acquisition and disposition of retail and industrial assets, including negotiation of purchase and sale agreements, due diligence coordination, title and survey resolution, and closing.
  • Represent general partners and sponsors in connection with the structuring and documentation of syndicated real estate investments, including negotiation of limited partnership and operating agreements and counsel on waterfall structures, promote arrangements, and co-investor rights.
  • Represent commercial real estate brokerage firms in connection with their brokerage transactions, including advising on purchase and sale agreements, commercial leases, listing agreements, buyer and tenant representation agreements, co-brokerage arrangements, and related transaction documentation.
  • Represent property management companies in all aspects of landlord/tenant matters, including lease enforcement, default and cure procedures, negotiation of lease amendments and terminations, and prosecution of eviction proceedings.
  • Serve as outside general counsel to a commercial real estate investment company, providing ongoing transactional, entity, and operational counsel in connection with the company’s acquisition strategy and portfolio management.
